1. These terms
These terms govern your use of Flexicode Invoice Pro (“the Service”), operated by Flexicode (“we”, “us”), South Africa. By creating an account or using the Service you agree to them. If you are agreeing on behalf of a business, you confirm you are authorised to bind that business. Our Privacy Policy forms part of these terms.
2. Your account
- You must give accurate registration details and keep them current.
- You are responsible for everything done under your account and for keeping your credentials secure. Tell us immediately at support@flexicode.co.za if you suspect unauthorised access.
- You are responsible for the users you invite to your workspace and for the roles and permissions you give them.
- Accounts are for business use. You must be at least 18 years old.
3. Subscriptions, billing and trials
- Paid plans and add-ons are billed in advance for the period you select. Prices are in South African Rand and include VAT where it applies.
- Enabling an app or add-on adds it to your subscription from that point forward. We do not bill retroactively.
- Seat limits apply per plan. Adding seats beyond your allowance changes your charge from the next billing cycle.
- Free trials run for the stated period. Unless you cancel before it ends, the plan continues as a paid subscription.
- Cancel at any time by emailing support@flexicode.co.za. Cancellation takes effect at the end of the current paid period; we do not refund part-periods except where the law requires it.
- If a payment fails we may suspend access until it is settled. We will tell you before we do.
4. Your data and content
You own the data you put into the Service — your invoices, clients, products, orders, posts and documents. You grant us only the licence we need to host, process, back up and display that data in order to run the Service for you, and to send the messages and publish the content you instruct us to. You can export your workspace data at any time under Workspace → Privacy.
You are responsible for having the right to use the data you upload, including the personal information of your own customers and staff, and for meeting your own obligations under POPIA or equivalent law in your country.
5. Acceptable use
You may not use the Service to:
- break any law, or infringe anyone’s rights;
- send spam or unsolicited bulk messages, whether by email, SMS, WhatsApp or social posting;
- upload malware, or attempt to breach, probe or overload our systems or another workspace;
- resell or white-label the Service without our written agreement;
- reverse engineer the Service, or use automated means to extract data beyond our documented API and its published limits;
- publish content that is unlawful, hateful, defamatory or infringing through our social publishing features.
We may suspend or terminate an account that breaches this clause, and will tell you why.
6. Third-party services
The Service connects to third parties you choose to enable, including Meta (Facebook, Instagram and WhatsApp Business), payment providers, accounting systems, couriers and mapping. Your use of those services is also governed by their own terms, and when you connect one you must comply with them — including the Meta Platform Terms and any messaging policy that applies to the recipients you contact. We are not responsible for a third party’s availability, changes to its API, or its acts and omissions.
7. Availability and support
We work to keep the Service available and to keep your data safe, but we do not guarantee uninterrupted or error-free operation. We may carry out maintenance, and will give notice of planned downtime where we reasonably can. Support is provided by email at support@flexicode.co.za during South African business hours.
8. Changes to the Service
We improve and change the Service over time. We will not materially reduce a core feature of a paid plan without giving you reasonable notice, and if a change materially disadvantages you, you may cancel and receive a pro-rata refund of the unused prepaid period.
9. Warranties and liability
The Service is provided “as is” and, to the extent the law allows, without warranties of any kind. Nothing in these terms limits liability for fraud, gross negligence, death or personal injury, or anything else that cannot lawfully be limited — including your rights under the Consumer Protection Act where it applies to you.
Subject to that, neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill or data, and our total liability arising out of the Service in any twelve-month period is limited to the fees you paid us in that period.
The Service assists with tax, VAT and accounting documents but is not a substitute for professional advice. You remain responsible for the accuracy of what you issue and submit.
10. Termination
You may close your account at any time. We may terminate or suspend an account for material breach of these terms, for non-payment, or if we are legally required to. On termination your access ends; export your data first. We delete your workspace data as set out in our Privacy Policy and Data Deletion Instructions, except records we must keep by law.
11. Governing law
These terms are governed by the laws of the Republic of South Africa, and the parties submit to the jurisdiction of the South African courts. We will try in good faith to resolve any dispute with you directly before either of us starts proceedings.
12. Changes to these terms
We will post any change on this page and update the date above. If a change materially affects your rights, we will notify account holders by email or in-app notice before it takes effect. Continuing to use the Service after that means you accept the change.
